Interpretation

This agreement is an authoritative arrangement between you and Central Creations. It also sets out some of the terms and conditions governing you selling and purchasing goods and services on this site, so please read it carefully. If you are uncertain, or you do not agree with the terms and conditions or any of the Annexures then you should not accept them.

We will provide you with the services only once you have accepted the terms and conditions of this agreement by clicking on the "I ACCEPT" button when registering with us.

By entering any and all personal information on this Site in the creation of an account, in registering with Central Creations, in making a sale or purchase and/or by accepting this Agreement, you agree to the processing of your personal information by Central Creations in terms of the Protection of Personal Information Act.

Definitions

In this policy the following terms will have the meanings set out next to them unless clearly inconsistent with or otherwise indicated by the context:

Central Creations (Central Creations (Pty) Ltd): means the company registered in South Africa by CIPC and all its related divisions and partners that trade in agreement with Central Creations.

Company: A legal entity formed by a group of individuals to engage in and operate a business, commercial or industrial enterprise.

Intellectual Property Rights: means industrial and intellectual property whether protected by common law or under statute including (without limitation) copyright and neighbouring rights, all rights in relation to inventions (including registered patents and the benefit of any applications for a patent), plant varieties, plant breeders, registered and unregistered trademarks, registered and unregistered designs including drawings, circuit layouts and all other rights resulting from intellectual activity in the industrial, scientific, literary or artistic fields anywhere in the world.

General

1. You agree to promptly inform us of any breach by you of the terms of this Agreement and of any conduct of another user that you think may be a breach of this Agreement, whether the conduct has ceased, is continuing, or may occur in the future.
2. You agree that we may and will monitor your conduct if we believe that you are not complying with the terms of this Agreement. If we do, then we will respect your confidentiality, unless:

• Doing so would or could involve us in criminal conduct, a common wrong, or some other case by an individual for which we may need to pay.
• The law propels, requires, or makes it judicious and alluring for us to uncover or unveil the data we hold or know or any reports we have, or
• We consider it necessary or desirable to make disclosures to preserve or enforce our interests or rights.

3. If any term or condition contained herein is declared invalid, the remaining terms and conditions will remain in full force and effect.
4. All subscribers or people viewing the website must not do illegally copy, store, use, alter, modify, impair, interfere with or attempt to interfere with, or distribute software or other data.
5. These Terms and Conditions contain the whole agreement between you and Central Creations (Pty) Ltd and no other warranty or undertaking is valid, unless contained in this document between the parties.

Intellectual Property

All intellectual property rights, including copyright, in all materials, including brand names, logos, photos, pictures, text and different illustrations which structure some portion of the site are claimed by Central Creations; then again the Organization is the legitimate client thereof. Such rights are secured by both South African and worldwide licensed innovation laws. All information and data conveyed to or from the Central Creations site and additionally any Site data just as the data set is the sole property of the Organization. The Organization awards you consent to see, electronically duplicate and print segments of the Site for the sole reason for putting in a request with the Organization for any of the items.

The Company grants you permission to view, electronically copy and print portions of the Site for the sole purpose of placing an order with the Company for any of the Products.
Any use of materials on the Site other than for the purpose noted above including, without limitation, the unauthorised submission, removal, modification, dissemination, copying or distribution of copyrighted or other proprietary content, without the prior written consent of the Company and/or the lawful trademark and/or copyright owner (if applicable), is prohibited and constitutes an unlawful infringement of the intellectual property rights of the Company and/or such trademark and/or copyright owner

No person, business or other website may link to any page on this website without the prior written permission of the Company. External hyperlinks may be provided on the website, but such links are beyond the Company’s control. You shall not interpret the provision of such hyperlinks as constituting any relationship between the Company and any linked third party, nor as an endorsement by the Company of such third party. Hyperlinks provided on this website to other websites are provided as is and the Company does not necessarily agree with, edit or sponsor the content of such websites. You explicitly concur that utilization of the website is altogether at your own risk. The website and its contents are given on a 'with no guarantees' and 'as accessible' premise and has not been assembled to meet individual prerequisites.

Central Creations makes no representations nor gives warranties of any kind, whether express or implied including, without limitation, with respect to the site, its contents, the accuracy thereof or any warranties or representations regarding the effectiveness of any security or encryption facilities or with regard to the availability of products and/or delivery arrangements and times.

Central Creations disclaims all representations and warranties including, but not limited to, warranties as to the availability, accuracy or content of information, products or services, and warranties of merchantability or fitness for a particular purpose of information, goods or services.

Central Creations, its directors, employees, sub-contractors, agents, representatives, affiliates and suppliers shall not be liable for any loss, damage (whether direct, indirect or consequential) or expense of any nature whatsoever which may be suffered as a result of or which may be attributable, directly or indirectly, to the use of or reliance upon the site (including any information contained thereon) or the internet. You hereby indemnify Central Creations from and against any loss or damage suffered or liability incurred including, without limitation, in respect of any claim or demand by any third party by reason of any act or omission on your part or that of any family member, agent or representative acting on your behalf in connection with transactions concluded on the site and/or in terms of this agreement and/or in relation to the receipt of products or services supplied by Central Creations pursuant to any such order.

Notwithstanding any other provisions contained herein, Central Creations’ liability whether in contract or delict arising from any breach of any obligation in terms of this agreement, negligence or otherwise shall not exceed at any time the value of the product(s) in respect of which any such dispute or claim arises.

By accessing this site you warrant and represent to Central Creations that you are legally entitled to purchase the products and that all the details you have provided are true and complete.

ü  Central Creations (Pty) Ltd is active on Twitter, Facebook, Instagram, What’s App, YouTube, Google Plus and other social media platforms from time to time (“Social Media Platforms”).

ü  You agree to use the Website for lawful purposes only. Without derogating from the generality of the a foregoing, if you should choose to access or use this Website from locations other than the Republic of South Africa, you do so at your own initiative and you are responsible for compliance with applicable local laws.

ü  The User can view and order the Goods for delivery or collection via the Website.

ü  The prices of the Goods are indicated on the Website, as updated from time to time and will vary depending on the type, quantity and/or size of the goods ordered as well as any variations, amendments or upgrades made thereto.

ü  You may not Access the Sites and may not accept these Terms and Conditions if You lack the legal capacity to enter into a binding contract with Us; are a person barred from Accessing the Sites under the laws of the Republic of South Africa or other countries including the country in which You are resident or from which You Access the Sites.

ü  You agree that we may add new features and modify or even discontinue existing features without notice to you and in our sole discretion.

ü  Content accessible through the sites may not be appropriate for all users and while we take steps to monitor and remove objectionable content, it remains solely your responsibility not to consume inappropriate content or to prevent underage users from accessing this content where it is within your control to do so.

8. use the Sites to Post anything which contains viruses or any other destructive features, regardless of whether or not damage is intended;
9. gather email addresses and/or names for commercial, political, charity or like purposes or use the services to collect or attempt to collect personal information about third parties without their knowledge or consent;
10. violate the privacy of any person or attempt to gain unauthorised Access to the Sites or any other network, including (without being limited to) through hacking, password mining or any other means; and/or
11. Otherwise use the Sites to engage in any illegal or unlawful activity.

Online Registration

Registration and/or use of the Central Creations online site constitutes acceptance of this agreement by you, and shall accordingly apply as between the company and yourself. Registration on our Website is free and does not oblige you to purchase anything. Upon registration you will be required to choose a user name and a password. Please keep your password secret. The Company accepts no liability for any damages suffered or losses incurred as a result of the misuse or loss of your password. In this regard you represent and warrant that your user name and password shall:

• Be used for personal use only and;
• Will not be disclosed to any third party.

Upon acceptance of your registration, a registration confirmation email will automatically be sent to the email address you provided us with when registering. Transmission times depend on your Internet Service Provider, but it typically takes less than 10 (ten) minutes to receive the confirmation email.

If you do not receive the confirmation email please contact us as soon as possible. You will be required to login with your username and password each time you want to access your account. You can access your account by clicking on “Sign in” on the top right of any page on our website.

Agreement of Sale

An agreement of sale in respect of a product between the company and you only comes into effect when payment has been made and the products have been delivered at your chosen address or has been collected at the store. In this regard the word “payment” means when the company’s bank statement reflects your payment via EFT, and the order has been invoiced. The words “delivery” means the transportation and the handover of the product to you.

The company shall only be liable to refund money already paid by the user. Unless otherwise stated, a delivery fee will be charged each time you purchase an item online for delivery.

Central Creations holds every right to update this agreement with or without consent of any user.
